American International Group, Inc. said Monday it amended itsMarch 2006 registration statement relating to shares of its commonstock that may be delivered by Starr International Company, Inc. toAIG employees under the terms of Starr's deferred compensationparticipation plans.

AIG also said it filed amendments to its annual report on Form10-K for 2005 resolving Securities and Exchange Commission staffcomments by providing expanded disclosure. These amendments do notinvolve any restatement of AIG's financials, the company said.

The New York-based carrier also announced it filed an amendmentto its quarterly report for the 2005 second quarter, completing thepreviously announced restatements of AIG's financial statementsmore fully described in the company's 2005 annual report.
