If rules for corporate governance rely on the use of checklists rather than effective systems of oversight and an ethical corporate culture, then future corporate scandals can be expected, according to Lord Colin Sharman, chairman of Aegis Corporation, the U.K.-based communications company.

Successful corporate governance is a matter of effectiveness, rather than structure, said Lord Sharman.
