EMC Corporation, a provider of information infrastructure solutions, said it has reached an agreement to acquire Document Sciences Corporation in a cash deal worth approximately $85 million.
Document Sciences Corporation, based in Carlsbad, Calif., provides document output management software that facilitates highly personalized, multi-channel communications to customers, partners and suppliers.
According to the announcement, the acquisition complements and extends Hopkinton, Mass.-based, EMC's position in the transactional content management (TCM) marketplace, the fastest-growing segment of enterprise content management.
Under the terms of the agreement, Document Sciences Corporation stockholders will receive $14.75 in cash for each share of company's common stock. The acquisition is subject to stockholder and regulatory approvals. It is expected to be completed in the first quarter of 2008.
Upon completion of the acquisition, EMC said it intends to operate Document Sciences Corporation as a business unit within the EMC Content Management and Archiving division.
