American International Group, Inc. said Monday it amended its March 2006 registration statement relating to shares of its common stock that may be delivered by Starr International Company, Inc. to AIG employees under the terms of Starr's deferred compensation participation plans.

AIG also said it filed amendments to its annual report on Form 10-K for 2005 resolving Securities and Exchange Commission staff comments by providing expanded disclosure. These amendments do not involve any restatement of AIG's financials, the company said.

The New York-based carrier also announced it filed an amendment to its quarterly report for the 2005 second quarter, completing the previously announced restatements of AIG's financial statements more fully described in the company's 2005 annual report.

AIG said it is now able to resume registered offerings on short form registration statements.
