Carla A. Hills and William S. Cohen, directors of American International Group, have notified the company they will not seek reelection to the company's board of directors.

In a Securities & Exchange Commission filing Monday, the New York-based insurer, which recently agreed to a $1.64 billion settlement with New York Attorney General Eliot Spitzer and other regulators over questionable accounting practices, said Ms. Hills informed the board of her decision on Feb. 7, and Mr. Cohen on Feb. 10.

AIG said Ms. Hills is a member of the audit committee and the nominating and corporate governance committee of the board. Mr. Cohen is a member of the public policy and social responsibility committee of the board.

Ms. Hills is chairman and chief executive officer of Hills & Company, International Consultants. She was also U.S. Trade Representative under the first President George Bush, and served as Secretary of the Department of Housing and Urban Development under President Gerald Ford.

Mr. Cohen is chairman and chief executive officer of the Cohen Group, a consulting firm. He served as Secretary of Defense under President Bill Clinton and was a U.S. Senator from Maine.

Other notables on the AIG board include Richard Holbrook, former U.S. Ambassador to the United Nations, and Martin S. Feldman, professor of economics at Harvard University.

A spokeswoman at the Cohen group said the firm had no comment. Representatives for Ms. Hills could not be reached for comment.
