NU Online News Service, May 10, 4:22 p.m. EDT–The Risk and Insurance Management Society Inc. said it has partnered with the Penn Rhoads Institute to offer an online course, "Understanding Corporate Governance in a Sarbanes-Oxley Environment."

The program, RIMS said, examines the foundations of the law governing business relationships, in addition to the responsibilities and liabilities of directors, officers and management.

RIMs added that the course is geared to educating managers and executives about general governance issues in preparation for the new regulatory environment of Sarbanes-Oxley. With its emphasis on enterprise risk management concepts, Sarbanes-Oxley requires a broad-based understanding of governance concepts within public companies, RIMS noted.

"The Sarbanes-Oxley Act has changed the risks confronting senior managers and corporate directors to an unprecedented degree," said Chuck Edinger, Penn Rhoads chief executive officer.

Among the listed objectives of the course are clarifying the goals of corporate governance in the broader corporate environment and examining the organizational processes of boards of directors, corporate officers and other parties.

It also provides reasons why corporate governance approaches fail and identifies the key governance concerns of boards of directors, RIMS said.

The program aims to integrate a corporate governance program to preserve and protect a company's assets and to improve managers' understanding of corporate governance terms and concepts.

Credit from the course will also qualify toward the RIMS Fellow designation.
